3.1. Non-Disclosure: The Company and the Client agree to treat any non-public information exchanged during the services engagement as confidential. This contains but is not limited to business strategies, proprietary information, and client data.
3.2. Data Protection: The Company will take reasonable measures to protect client data in its possession, adhere to applicable data protection laws, and use client data solely to provide the agreed-upon services.
4.1. Ownership: Any intellectual property rights created or developed by the Company during the period of providing services, including but not limited to content, designs, and marketing materials, will remain the property of the Company unless otherwise decided in writing.
4.2. License: Upon full payment of fees, the Company grants the Client a non-exclusive, non-transferable license to use any agreed-upon deliverables solely for the Client's business purposes.
5.1. Disclaimer: The Company will provide services to the best of its abilities but makes no guarantees or warranties regarding specific results, business outcomes, or the services' success.
5.2. Indemnification: The Client agrees to reimburse and hold Sparkstone Marketing Ltd harmless from any claims, damages, liabilities, or expenses arising from the use of the services or any infringement of these Terms by the Client.
6.1. Termination Rights: Either party may terminate the services engagement for convenience with written notice. Termination does not relieve the Client's obligation to pay fees for services provided up to the termination date.
6.2. Termination for Cause: Either party has the right to terminate the services engagement immediately if the other party materially infringes these Terms and fails to mend the infringement within a reasonable time.
7.1. These Terms will be governed by and construed under the laws of England and Wales. Any disputes arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
8.1. These Terms and Conditions constitute the entire agreement between Sparkstone Marketing Ltd and the Client regarding the subject matter and supersede all previous agreements, arrangements, or representations, whether written or oral.
8.2. Amendments: Any amendments or modifications to these Terms must be settled in writing by both parties.
8.3. Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining requirements shall continue in full force and effect.
8.4. Waiver: The failure of either party to enforce any requirement of these Terms shall not be thought a waiver of that provision or any other provision.
8.5. Assignment: The Client may not assign or disseminate any rights or obligations under these Terms without the prior written consent of Sparkstone Marketing Ltd.
8.6. Independent Contractors: The relationship between Sparkstone Marketing Ltd and the Client is that of separated contractors, and nothing in our Terms and Conditions shall be construed to make a partnership, joint venture, agency, or employment relationship.
8.7. Communication: All notices and communications under these Terms shall be written and sent subsequently to the addresses provided by the parties.
